OPI TERMS OF SERVICE AGREEMENT

This Terms of Service Agreement ("Agreement") governs the subscription and use of Over-the-Phone Interpreting (OPI)
services provided by Teneo Linguistics Company ("Company"). By subscribing to the service, the subscriber ("Customer")
agrees to the following terms:

 
Service Overview

The Company provides 24/7 access to Over-the-Phone Interpreting (OPI) services on a subscription basis. No minimum

usage is required. The interpreting platform is HIPAA-compliant, ensuring confidentiality and privacy for all interactions.

 
Subscription Plans and Payment

Subscription Plans: Customers may select from available subscription plans, with the ability to upgrade or downgrade as
needed.

Billing and Payment: Payment is due on a recurring monthly basis, charged to the credit card on file. Customers are
required to maintain a valid credit card on file for automatic billing.

If a payment attempt fails, the Company will attempt to charge the card three times. If payment is not received after
three attempts, the account will be suspended, and services will be unavailable until full payment is made.

Prorated Billing: If a Customer upgrades or downgrades their subscription mid-cycle, a prorated billing adjustment will
be applied, and the new plan will take effect immediately.

 
Cancellation Policy

Cancellation: Customers may cancel their subscription by emailing interpretetictranslation.com. Cancellation requests
must be submitted before the 25th of the month to avoid charges for the following month. Cancellations take effect at
the start of the next billing cycle.

No Refunds: There are no refunds for paid services. However, prorated credits for unused time can be applied toward
upgrades.

 
Service Availability

The Company will make reasonable efforts to ensure 24/7 access to OPI services. However, the Company does not
guarantee uninterrupted or error-free service. The Customer acknowledges that occasional service interruptions may
occur.

 
Limitation of Liability

In the event of any service interruptions or unavailability, the Company's liability shall be limited to an amount not
exceeding the value of one month's subscription fee. The Company shall not be responsible for any consequential
damages or losses resulting from such interruptions.

 
Confidentiality and Data Security

All communications through the Company's OPI platform are confidential and subject to the highest standards of
privacy, including compliance with HIPAA regulations. The Company will not disclose any personal or sensitive
information unless required by law.

 
Dispute Resolution and Governing Law

Mediation: Any disputes arising out of or relating to this Agreement shall first be addressed through mediation. If
mediation is unsuccessful, the dispute will be resolved in accordance with the laws of the state of Texas.

Jurisdiction: The parties agree that the exclusive jurisdiction for any legal action arising out of this Agreement shall be
the state or federal courts located in Tarrant County, Texas.

By subscribing to the Company's services, the Customer acknowledges and agrees to the Terms of Service outlined
above.
